A note to clients
This document explains how we work together: how we handle scope and billing, the technology and AI tools we use on your behalf, your rights as a client, and what we will do if any of this changes. We will always reach out directly before anything material changes. If you have questions, please ask.
These Engagement Terms govern the legal services provided by Rubicon Law Group, Ltd., a Colorado limited liability company, doing business as Flux (“Flux,” “we,” or “us”), to clients who engage Flux for legal services. They are incorporated by reference into each Flux engagement letter and, together with that letter, form the agreement between Flux and the applicable client (“Client”).
Scope of Engagement
The scope of legal services Flux will provide is described in the applicable engagement letter or as otherwise agreed in writing. Our engagement is limited to the specific matter described and does not create an ongoing obligation to represent Client in other matters.
Billing and Fees
Subscription billing
The applicable plan, pricing, and included services are described in the engagement letter. Subscription fees are billed monthly via Stripe. No invoices, no surprise line items. Client may pause or cancel at the end of any billing period with no further obligation. If Client cancels mid-month, Flux will refund the unearned portion on a prorated daily basis.
Trust account
Under our professional rules, advance fees are deposited into Flux’s client trust account (IOLTA). As services are performed throughout the month, those funds are earned and transferred to our operating account. This is standard practice and protects Client’s funds.
Out-of-scope work
If a matter falls outside the plan’s scope, we will tell Client before we start and agree on separate terms in writing. No surprises.
Third-party expenses
If Flux incurs third-party costs on Client’s behalf (state filing fees, registered agent fees, etc.), those are invoiced separately at cost without markup.
Client Responsibilities
Client agrees to cooperate with Flux throughout the engagement, including providing accurate and complete information, responding promptly to requests, and notifying Flux of any developments that may be relevant to the matter. Client is responsible for preserving documents and communications relevant to the matter and should not destroy such materials once a dispute is reasonably anticipated.
Term and Termination
Client's right to terminate
Client may cancel or pause at any time. Cancellation is effective at the end of the current billing period with no further obligation. If Client cancels mid-month, Flux will refund the unearned portion on a prorated daily basis.
Flux's right to withdraw
Flux may withdraw from an engagement for good cause — including nonpayment of fees, conflict of interest, or as otherwise permitted under the Colorado Rules of Professional Conduct — upon written notice to Client with reasonable opportunity to retain other counsel.
Effect of termination
Termination does not affect Flux’s obligations of confidentiality or Client’s obligation to pay any outstanding third-party expenses incurred prior to termination.
Updates to These Terms
Flux may update these Engagement Terms from time to time to reflect changes in law, regulation, technology, billing practices, or firm policy.
Notice of material changes
Flux will provide at least 30 days’ advance written notice by email before any material change takes effect. For changes to subscription fees, Flux will provide at least 60 days’ advance notice. Notice will describe the nature of the change and its effective date.
What counts as material
- Increases to subscription fees
- Changes to billing methodology
- Changes to subscription scope or renewal terms
- Addition of AI tools involving submission of Client information to third-party providers not previously disclosed
- Material changes to the meeting recording policy
Opt-out right
If Client does not object to a material change before its effective date, the updated Terms apply to all work performed after the effective date. Client may object by written notice to Flux before the effective date, in which case the prior Terms continue to govern until the engagement concludes or either party terminates.
Staffing
Flux may assign the matter to any attorney at the firm and may utilize paralegals, legal assistants, and other staff. We may also engage outside co-counsel or specialists as warranted, in which case we will inform Client in advance. We will use reasonable judgment to staff matters efficiently and to keep billing reasonable.
Technology and AI Tools
Flux uses technology tools — including AI tools for research, drafting, analysis, and summarization — to work efficiently on your behalf. Our current AI tools are listed in the AI Tool List below, which we keep updated.
We review and supervise all AI-generated work before delivering anything to you, and we take full professional responsibility for every work product we provide. We do not submit your confidential information to AI systems that train their models on client inputs without your written consent.
By signing the engagement letter, you consent to our use of AI tools as described here. You may object to any new tool addition under the update procedures above.
Meeting Recording
We may record telephone and video meetings for documentation purposes, and currently use Granola AI to transcribe and summarize those recordings. Our practice is to let you know at the start of any meeting we intend to record. If you would prefer a meeting not be recorded, just say so and we will not record it. For meetings that include third parties, we will not record without appropriate consent from those participants.
Confidentiality and Privilege
Communications between Client and Flux’s attorneys made for the purpose of seeking or providing legal advice are protected by the attorney-client privilege. Client should maintain the confidentiality of such communications and not share them with third parties in ways that could waive the privilege.
Flux’s obligation of confidentiality continues after the conclusion of any engagement.
File Retention
Flux maintains Client files in electronic form for seven years following the conclusion of an engagement. Client should retain copies of all documents material to Client’s interests. Upon written request at or after the conclusion of an engagement, Flux will provide Client with a copy of the client file in a reasonably accessible electronic format.
Governing Law and Disputes
These Terms and all engagements are governed by the laws of the State of Colorado. If a dispute arises, the parties will first attempt to resolve it through good-faith discussion. If that doesn’t resolve it, disputes will be resolved by binding arbitration in the State of Colorado under the rules of the American Arbitration Association. Any claim arising out of or related to an engagement must be brought within two years of the date Client knew or should have known of the basis for the claim.
General
- Entire agreement. These Terms, together with the applicable engagement letter, constitute the entire agreement between Flux and Client with respect to each engagement.
- Work product ownership. Work product Flux creates and delivers to Client belongs to Client. Flux retains its internal work files, notes, and drafts.
- No guarantee of outcome. Nothing in these Terms or any communication by Flux constitutes a guarantee of any particular outcome.
- Professional rules. In the event of any conflict between these Terms and the Colorado Rules of Professional Conduct, the professional rules control.
- Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions continue in full force.
